We assist clients in the negotiation, review and drafting of purchase and sale agreements from both the acquisition and disposition standpoint. We have extensive experience in the preparation of restrictive covenants, easements and property owners’ association documents required for both residential and commercial development. We help clients negotiate construction contracts, leasing and management contracts and development contracts in connection with development projects.

As part of a property acquisition process, we assist our clients in their conduct of due diligence on potential acquisitions, including reviewing and evaluating environmental audits, title and survey matters, leasing documentation and counseling clients in connection with zoning, permitting and land use matters.

Since many real estate transactions have tax consequences, we have the expertise to structure transactions to minimize adverse tax consequences, including reviewing and negotiating complex joint venture structures and handling tax free exchange transactions. We counsel clients with choice and structure of the appropriate entity for both investment and development deals.

We act as approved counsel for every major title insurance company doing business in North Carolina and we regularly represent title insurance companies with regard to title claims and issues.
